These Terms and Conditions (“Terms”) constitute a binding electronic agreement between you (“you” or “User” collectively) and L3oka edge OPC (referred to as “we,” “us,” or “our” collectively), a One Person Company incorporated under the Companies Act, 2013, with the Ministry of Corporate Affairs (MCA) in India. 2.1 You retain all ownership rights to the content you upload to the L3oka edge platform (“Your Content”). This includes, but is not limited to, text, images, videos, audio, and other creative materials.

2.2 By uploading Your Content to the Platform, you grant L3oka edge a non-exclusive, worldwide, royalty-free license to use, recreate, Publish , modify Your Content on the Platform and for marketing and promotional purposes.You also grant 3lokaedge.com the right to authorize the downloading and printing in whole or in part of any Content that you post to display Your Content on the Platform, including in search results and user profiles, Modify Your Content for technical purposes, such as resizing images or converting videos to different formats, Use Your Content in marketing and promotional materials, such as on our website, social media channels, and advertisements. You represent and warrant that you have all necessary rights and permissions to grant the license specified above. This means you own the content or have permission from the copyright holder to use it in the ways described.You can revoke this license at any time by deleting Your Content from the Platform. However, L3oka edge may still retain copies of Your Content for backup purposes or to comply with legal obligations.

2.3 Any and all content displayed on, or transmitted, or processed for decision making (by us or a partner entity) via the Services provided to you is on a ‘as is’ basis and your access to and use of the Services and any content therein is at your own risk. You may access the content solely for your information and personal use. You shall not copy, reproduce, distribute, transmit, broadcast, display, sell, license or otherwise exploit any content on any Platform for any other purposes.

3. USER ACCOUNT AND ACCESSIBILITY

No coding skills required! Showcase your work in a visually compelling way with customizable layouts, galleries, and features.

4.2 You acknowledge that Website / App is a platform wherein the vendors list their product and services and as such 3lokaedge.com does not verify the authenticity of service providers (“Users” or “Subscribers” or ” Artists”, collectively) or confirm any statement or details provided by any of the service providers listed in Website / App and it is for the user to verify the credentials of the service provider and then finalize the deal with them. Under any circumstances, We shall not be responsible for any service or goods assured to be delivered by the service providers registered in our Website or App.

4.3 By using our platform, you acknowledge and agree that the leads generated through our platform are solely based on the quality of your portfolio and the customer’s preferences. Our role is to promote your services and connect you with potential clients; the final decision to hire/book an artist lies with the customer; You accept that the quality of your portfolio is the primary factor in attracting leads; You agree to maintain a professional and up-to-date portfolio that accurately reflects your skills and experience; You understand that we are not liable for any decisions made by customers regarding their choice of artist however we are committed to providing you with the best possible platform to showcase your talents and connect with potential clients.

5. LIMITATIONS & LIABILITIES

5.1 The L3oka edge platform and its services are provided “as is” and without warranty of any kind, express or implied. L3oka edge OPC disclaims all warranties, including, but not limited to, warranties of merchantability, fitness for a particular purpose, non-infringement, or availability.In no event shall L3oka edge OPC, its officers, directors, employees, or agents be liable for any damages arising out of or related to your use of the platform or services, including, but not limited to Direct, indirect, incidental, special, consequential, or punitive damages, Loss of profits, data, or business opportunities, Personal injury or property damage, Errors, interruptions, or delays in the platform or services, Third-party content, products, or services available through the platform.The platform may contain links to third-party websites and services.L3oka edge OPC is not responsible for the content or practices of any third-party websites or services.

6. INDEMNIFICATION

6.1 You agree to indemnify and hold harmless L3oka edge OPC (“we”, “us”, or “our”), our officers, directors, employees, agents, affiliates, licensors, and suppliers (collectively, the “Indemnified Parties”) from and against any and all claims, demands, losses, liabilities, costs, or expenses (including attorneys’ fees) arising out of or related to (a) Your use of the Services; (b) Your violation of these Terms and Conditions; (c) Your User Content (content you upload, post, or share on the platform); (d) the infringement by you ( or interaction with any other user of the Service using your account) of any intellectual property or other right of any person or entity or violation of any federal, state or local law or regulation.

6.2 This indemnification obligation shall include, but not be limited to, any and all claims for Copyright infringement;  Trademark infringement; Trade secret misappropriation; Defamation; Negligence; Strict liability; Breach of contract.

7. FORCE MAJEURE

7.1 L3oka edge OPC shall not be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, labor disputes, fires, floods, earthquakes, or governmental actions.

8. PROHIBITED USES

8.1 You are solely responsible for all Your Content and ensure it complies with these Terms and all applicable laws and regulations.Your Content must not be (i) Illegal, obscene, defamatory, threatening, harassing, or abusive; (ii) Must not must not infringe on the intellectual property rights of others; (iii) including copyrights, trademarks, and privacy rights; (iv) Hateful, discriminatory, or offensive, Misleading or deceptive; (v) Must not engage in promoting illegal activities or violence; (vi) impersonate any person or entity; (vii) You must not upload viruses, malware, or other harmful code ; (viii) You must not use any feature of the Website / App service for chain letters, junk mail, or “Spamming” nor “Phishing” nor make any use of the distribution lists in a manner involving any person who has not given specific permission to be included in such a process.

8.2 You agree not to create bots or other automated tools to access or use the Service. This includes any software or Script designed to scrape data, manipulate content, or automate actions on the platform; You may not engage in any activity that disrupts, overburdens, or damages the Service or its servers; You may not attempt to gain unauthorized access to the Service or any other user’s account.

8.3 Your right to use the L3oka edge platform and its services (“Service”) is personal to you. You may not resell or make any commercial use of the Service without our express written consent.  This includes, but is not limited to, using the Service for advertising, marketing, or other promotional purposes without our permission.You agree that L3oka edge OPC reserve the right to immediately remove or disable access to any content without your consent that we believe violates these Terms or that is otherwise objectionable. Our decision on whether a user has violated these Terms and Conditions is final and binding.

8.4 L3oka edge OPC cannot guarantee that the Services will be free from user misconduct. We encourage you to report any violations you encounter.

10. SEVERABILITY

10.1 If any provision of these Terms and Conditions is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

10.2 This clause ensures that even if a specific part of your T&Cs is found to be invalid, the rest of the agreement remains enforceable. It protects the overall integrity of your T&Cs and avoids derailing the entire agreement due to a single problematic provision.

11. TERMINATION

11.1 Your Right to Terminate: You may terminate your account with us at any time, for any reason. Upon termination, you will lose access to the Platform and any Services offered through it.

11.2 Our Right to Terminate: We may suspend or terminate your account, and access to the Platform, for cause, including but not limited to (i) Violation of these Terms and Conditions or any other agreements with us; (ii) Illegal or unauthorized use of the Platform; (iii) Failure to pay any fees associated with your account (iv) Engaging in conduct that disrupts the harmony or safety of the Platform or its users.

11.3 Upon termination of your account, we may delete or remove your content from the Platform. We will not be liable to you for any loss or damage arising from the termination of your account.

11.4 Certain provisions of these Terms and Conditions, such as those relating to ownership of intellectual property rights and limitation of liability, shall survive the termination of this Agreement.

12. ENTIRE AGREEMENT

12.1 This agreement, including these Terms and Conditions and any referenced policies (collectively, the “Agreement”), constitutes the entire agreement between you (“User”) and us (“we” or “the Platform”) governing your use of the Platform. The Agreement supersedes any prior or contemporaneous communications, representations, or agreements, whether oral or written.

CANCELLATION AND REFUND POLICY

CANCELLATION POLICY: You may cancel your annual subscription at any time. Cancellation will stop automatic renewal at the end of your current subscription term. You will continue to have access to the service until the end of your paid period.

REFUND POLICY: We do not offer refunds for the unused portions of annual subscription. However, If you experience any technical challenges with your subscription charges, please contact our customer support team for assistance.

CHANGES TO THE TERMS & CONDITIONS /CANCELLATION POLICY

We may update this Terms & Conditions/Cancellation Policy from time to time. We encourage you to review this section periodically for the latest information on our policies & practices. Such revised policies will take effect as of the date of revision.
